1 · Parties

This agreement is between AdventPro LLC (in formation; legal name, address, and jurisdiction: [to be completed]), hereinafter "AdventPro", and the organization purchasing the service, hereinafter "the Organization", represented by the person who signs or accepts the purchase order.

2 · Scope

AdventPro provides the Organization with the AdventOffice service: processes with approval routes, deadlines, and escalation; a document repository with retention, records, and a public portal; an audit room; electronic signature; mirror and backup on the Organization's own storage; and the native app for workers. Guided onboarding is included.

3 · Bands and accounts

Pricing is set by band according to the Organization's number of churches: S up to 60, M up to 150, L up to 250, XL more than 250. Each band includes creator accounts (S: 1, M: 3, L: 5, XL: per quote) and packs of 5 additional accounts at the published price.

A creator account is a person with an office role and management capabilities: designing processes, managing documents, treasury, or IT administration. Pastors and workers who only submit, review, or approve are participants, at no cost and with no limit.

If the Organization changes band during the term, the adjustment applies at the next renewal unless otherwise agreed in writing.

4 · Term and renewal

The term is one year from the activation date and renews automatically for equal periods unless either party gives notice of non-renewal at least 30 days before the end of the term. There is no penalty for not renewing.

5 · Price and payment

The annual price is paid in advance at the start of each period. AdventPro accepts purchase orders and invoices; S and M plans can also be paid by card at adventpro.org. Assisted migration is a one-time service per organization at the published price, up to 50,000 documents; above that it is quoted.

Prices change only at renewal, with at least 60 days' written notice. Applicable taxes are added according to the Organization's jurisdiction.

6 · Availability and support

AdventPro commits to a monthly availability of 99.5% of the service, excluding announced maintenance windows (Sundays 02:00–04:00 Eastern, or those published in advance on the status page) and causes beyond its control. This commitment does not generate credits or compensation.

Support is provided by email on business days, with a first response within one business day. The public status page reports incidents and maintenance.

7 · Data, ownership, and export

Data and documents belong to the Organization. AdventPro processes them solely to provide the service, does not use them to train models, and does not share them with third parties other than the declared sub-processors.

The Organization may export all of its data at any time from Settings, in a documented open format (documents, CSV metadata, audit trail, and a manifest with hashes), and may keep a mirror or backup on its own storage.

8 · Termination

When the agreement ends, by expiry or termination, data is kept for 90 days in read-only mode with export available. After that period it is destroyed and AdventPro delivers a certificate of destruction. The Organization may request earlier destruction in writing.

Either party may terminate for material breach not cured within 30 days of written notice.

9 · Security and sub-processors

AdventPro enforces per-organization isolation in the database, two-step verification for administrative roles, access logging, and encryption of sensitive data and backups. The sub-processors that process data are: Supabase (database, authentication, and storage, on AWS, US East region), Vercel (web application), Google (translation and assistant), and OpenAI (receipt reading, when enabled). Any change is communicated 30 days in advance.

10 · Liability

AdventPro's total liability to the Organization for any cause is limited to the amount paid by the Organization in the 12 months preceding the event giving rise to it. Neither party is liable for indirect damages or lost profits. Nothing limits liability that cannot be limited by law.

11 · General

This agreement, together with the Terms of Use and Privacy Policy of adventpro.org, is the entire agreement between the parties. It is governed by the laws of AdventPro's jurisdiction [to be completed], and amendments require written agreement. If any clause is invalid, the rest remains in force.

This document is a commercial draft written in plain language and has not been reviewed by a lawyer. The version signed with the Organization prevails over this page.
